What is the Import Export Code (IEC)?

At the heart of any import or export activity is the Import Export Code (IEC). Without it, you cannot legally trade internationally. Before importing into India, an entity needs both GST registration and an IEC to clear customs. Its key features:

• Unique identifier. A 10-digit code issued by the Directorate General of Foreign Trade (DGFT), used to track cross-border transactions.
• Mandatory. Required for any business importing or exporting goods or services; without it you cannot clear customs or trade abroad.
• One-time registration, lifetime validity. The IEC is issued once and does not expire, but it must be confirmed or updated electronically every year (April to June) to stay active.
• Linked to GST and customs. Often linked to a company's GST number and required at customs clearance.
• Exemptions. Certain categories, such as individuals importing for personal use or government departments, may be exempt.
• Customs and banking. Needed for customs clearance and when remitting or receiving foreign currency for trade.
• On trade documents. Typically appears on bills of lading, shipping bills, and invoices to identify the trading entity.

What are the commercial documents?

Commercial documents establish the terms of sale and the details of the transaction, keeping both parties clear on what is being traded.

• Pro forma invoice. A preliminary bill of sale giving the buyer an estimated cost before the sale, listing goods, quantities, and prices. It helps buyers decide, can support financing or purchase orders, and assists in estimating duties and taxes. It is not a demand for payment but a formal statement of intent.
• Commercial invoice. The cornerstone document. A legally binding record of the transaction, covering buyer and seller details, an itemised list of goods (descriptions, quantities, unit prices, totals), and terms of sale. It is critical for customs to assess duties and taxes, and serves as a reference in disputes or audits.
• Packing list. A detailed list of shipment contents, with item descriptions, quantities, weights, and dimensions, usually aligned to the commercial invoice for cross-checking. It supports logistics, helps pack and verify goods, and reduces customs delays.

Example. An Indian furniture store exporting handcrafted furniture to a client in Germany would list not just the price and quantity of each item on the commercial invoice, but details like wood type and finish, which can affect customs duties.

What are the transportation documents?

Transportation documents act as the contract between shipper and carrier, setting out the specifics of the shipment.

• Bill of Lading. A contract between shipper and carrier that details the shipment, destination, shipping terms, and goods. For sea freight, it also functions as a document of title.
• Air Waybill. Required for air shipments, giving comprehensive shipment details. It is non-negotiable, so the carrier must deliver to the named consignee.

What are the customs documents?

Customs documents ensure goods comply with each country's regulations at the border.

• Bill of Entry. Required for imports, it gives customs the details of the goods being imported and is used to assess duties and taxes before release.
• Shipping Bill. Required for exports, it is submitted to customs to clear goods for export and verifies the details of the export transaction.

Example. When importing electronics into India, the bill of entry specifies the type of electronics, their value, and applicable duties. Without it, the goods can be held at customs, delaying the import.

What are the origin and certification documents?

Origin and certification documents validate where goods come from and that they meet the importing country's standards. Origin affects trade-agreement eligibility and tariffs.

• Certificate of Origin. Confirms the manufacturing origin of the goods, often required by customs to determine applicable duties.
• GATT Declaration. Used to determine customs duties under the General Agreement on Tariffs and Trade, helping verify the tariff classification of the goods.

Example. A product made in a country with a free trade agreement may qualify for lower duties, improving its competitiveness in the destination market.

What are the payment and finance documents?

Payment and finance documents secure the transaction and set out how and when the exporter gets paid.

• Letter of Credit (LC). A financial document issued by the importer's bank guaranteeing payment to the exporter once the agreed terms are met. It protects both sides: the exporter is assured of payment on presenting shipping documents (like the bill of lading and commercial invoice), and the importer knows payment is released only if conditions, such as shipping by a set date, are satisfied. Variants like irrevocable or transferable LCs add flexibility. This makes the LC especially useful between parties without a long relationship.
• Bill of Exchange. A written, unconditional order from the importer (drawee) to pay a set amount to the exporter (payee) at a fixed time or on demand. It can also finance the exporter, who can present it to a bank for immediate payment or financing rather than waiting, improving cash flow. As a negotiable instrument it can be endorsed and transferred, adding liquidity, and it creates a clear legal obligation useful in disputes.

Example. On a large machinery export, a letter of credit gives the exporter the assurance to proceed with shipment, knowing payment is secured.

What special documents might you need?

Some transactions need extra paperwork depending on the goods or countries involved:

• Insurance certificate. Proof of insurance covering the goods in transit, protecting against loss or damage.
• Export licence. Required for specific goods or destinations, ensuring the exporter complies with restrictions.

The right special documents prevent legal issues and delays. Exporting chemicals, for example, makes the correct export licence critical to avoid fines or refused shipments.
